Schneider Electric to Acquire Industrial Software Firm PTC for $22.6B

PTCOct 6, 2026

Schneider Electric and PTC Inc. announced on October 5 that they have signed a definitive agreement under which the French energy technology giant will acquire the Boston-based industrial software company. The all-cash deal pays $205 per share for 100% of PTC's share capital, valuing its equity at approximately $22.6 billion and implying an enterprise value of $23.7 billion. The price represents a 42.3% premium to PTC's last closing price before the announcement.

PTC is a major provider of computer-aided design (CAD), product lifecycle management (PLM), application lifecycle management (ALM) and service lifecycle management (SLM) software, serving more than 30,000 customers worldwide. The company generated €2.4 billion in revenue in CY25 with an adjusted EBITA margin of roughly 40%, and expects revenue and annual recurring revenue to grow about 10% a year through 2029.

Strategic rationale

Schneider Electric says the acquisition closes a gap in its industrial software portfolio by adding PTC's product and engineering data capabilities to its existing process and energy data foundation, aiming to "bridge the physical and digital worlds" from product design through operation. The company expects €250 million of annual run-rate cost synergies by year three, plus roughly €800 million of revenue synergies, and pointed to its ongoing AVEVA industrial software business and proposed acquisition of Cognite as part of the broader strategy.

"The acquisition of PTC represents an important step forward in our ambition to lead the new era of Energy and Industrial Intelligence," said Olivier Blum, CEO of Schneider Electric. PTC President and CEO Neil Barua called the move "an incredible opportunity to elevate the scope and impact of what we deliver for our customers globally," adding that it gives PTC "substantial scale and resources to accelerate innovation."

The boards of both companies have unanimously approved the transaction, which still requires approval from a majority of PTC's outstanding shares and regulatory clearances. Schneider Electric and PTC expect the deal to close by the third quarter of 2027. More details are available in the companies' joint announcement.
