Foresight Signs Term Sheet for 50.01% Stake in 270MW Polish Data Centers

GlobeNewswireSep 29, 2026

Foresight Autonomous Holdings Ltd. (Nasdaq and TASE: FRSX), an Israel-based developer of 3D perception and autonomous-driving technology, announced it has entered into a non-binding term sheet to acquire a 50.01% controlling interest in a company advancing two data center development projects in Poland, according to a press release. The target company is expected to hold a 66.67% interest in each of the two Polish project companies, with the remaining 33.33% held by Polish development entrepreneurs involved in grid connection and regulatory work.

Warsaw and Wroclaw Sites

The Warsaw project, located in Ożarów, has a planned capacity of 130 MW across roughly 3.2 hectares of secured land plus a 2.2-hectare option; a grid connection application has been submitted, with a final permit expected by the end of 2027. The Wroclaw project covers about 10 hectares, has a planned capacity of up to 140 MW, and has completed its feasibility study, with land still under negotiation. Combined, the two sites represent up to 270 MW of planned capacity.

Deal Structure

The purchase price for the 50.01% stake will be set by an independent valuation firm before definitive agreements are signed, with the consideration financed entirely through a seller loan. At closing, Foresight expects to contribute about $1 million toward its pro rata share of the target company's existing shareholder loans and to commit up to $2.5 million in additional shareholder loans, backed by a convertible loan facility of up to $3.5 million from the target's current shareholders. Foresight's Chief Financial Officer, Eli Yoresh, already owns a 10% stake in the data centers company.

Growing Polish Market

Foresight CEO Haim Siboni said the deal is "a natural extension" of the company's strategy to expand into new growth areas, including data centers, beyond its existing technology businesses. Citing data from the European Data Centre Association, the release notes Poland's colocation capacity is forecast to grow from about 29 MW in 2026 to 511 MW by 2031. The transaction remains subject to due diligence, an independent valuation, definitive agreements, and required corporate, regulatory and other approvals.
